We are Nidaflow Inc. ("Company", "we", "us", "our"). We operate the website https://nidaflow.com (the "Site") and any related products and services that link to these terms (the "Services"). We build an AI sales agent with real-time research, enrichment, and operator-reviewed multi-channel outreach. You can contact us at contact@nidaflow.com. These Legal Terms form a legally binding agreement between you (personally or on behalf of an entity) and Nidaflow Inc. concerning your use of the Services. By accessing the Services, you agree to be bound by these terms. If you do not agree, you must stop using the Services immediately.

These terms include provisions that affect your rights and responsibilities, including the disclaimers, the limits on our liability, your agreement to cover us for damages caused by your misuse of the Services, and how disputes are resolved.
Your permission to use the Services
Subject to these terms, we give you permission to use the Services. That permission is not exclusive to you, and you cannot transfer it to anyone else. Others must agree to these terms for themselves to use the Services.
Conditions for use
You must be at least 18 years old.
You must stop using the Services if we contact you directly to say that you may not.
You must use the Services in accordance with Acceptable Use and Content Standards.
Acceptable use
You may not break the law using the Services; use another's account without permission; trade in usernames or other identifiers; send advertisements, chain letters, or unsolicited outreach that violates anti-spam laws; automate or scrape the Services other than to index them for a public search engine; falsely imply affiliation or endorsement; remove proprietary notices; circumvent security or access restrictions; place an unreasonable load on our infrastructure; impersonate others; or help anyone else do these things.
Content standards
You may not submit content that is illegal, harassing, abusive, or otherwise harmful; that infringes intellectual-property or privacy rights or breaches your agreements with others; that contains malicious code; that is a mere placeholder; or that discloses information you do not have the right to share.
Enforcement
We may investigate and act on violations of these terms to the fullest extent of the law and cooperate with authorities. We may change, redact, or remove content for any reason. If you believe someone has violated these terms, please contact us.
Your account
Some features require an account. You agree to provide a valid email and keep it current, to keep your password secret, and to be responsible for all activity under your account until you close it or notify us that it has been compromised. We may restrict, suspend, or close your account if we reasonably believe you have breached these terms.
Your content
Nothing in these terms gives us ownership of the content you submit, and nothing gives you ownership of our intellectual property. You remain responsible for your content, and you grant us a licence to host, copy, process, and display it as needed to provide the Services. When content is removed, our licence ends once the last copy disappears from our systems and backups.
Your responsibility
You agree to indemnify us against third-party claims related to your breach of these terms or to use of your account. We will notify you of such claims promptly, let you control the investigation and defence where appropriate, and cooperate; we will not settle in a way that admits fault for you or imposes obligations on you without your consent.
General restrictions
You will not, and will not permit others to: resell, sublicense, or provide the Service to a third party as a service-bureau or outsourcing offering; use it to build a competing product or service; access non-public APIs except as the law expressly permits; remove proprietary notices; use it in violation of the Acceptable Use rules; or access it as a direct competitor without our written consent. You may not conduct security or penetration testing of the Service.
Customer obligations
You will ensure your use of the Service and all data you provide complies with your privacy policy and all applicable laws, including those on data privacy and data transfer. You are solely responsible for the accuracy, content, and legality of your data, and represent that you have sufficient rights to provide it. You will keep credentials confidential and remove access for users who are no longer authorised, and you will not upload regulated health data to the Service.
Confidential information
Each party will protect the other's confidential information with at least reasonable care, use it only for purposes of this agreement, and limit access to those who need it under confidentiality obligations. This does not cover information that is or becomes public, was already known, is independently developed, or is lawfully obtained from a third party. Disclosures required by law are permitted with prior notice where possible.
Disclaimers
You accept all risk of using the Services. As far as the law allows, we provide the Services "as is" and "as available" without warranties of any kind, and we do not guarantee specific outcomes such as meeting or reply volumes.
We are not responsible for third-party services the Services link to or rely on, including any adverse action a third-party platform takes against you, such as account suspensions, restrictions, rate limits, or deliverability issues on email providers or LinkedIn. You are solely responsible for ensuring your use complies with those platforms' terms.
We are not liable for any security incident, outage, or compromise of credentials affecting third-party infrastructure providers and sub-processors beyond our reasonable control.
Limits on liability
To the maximum extent permitted by law, neither party is liable for lost profits or for indirect, special, incidental, or consequential damages, and each party's total liability for claims under these terms is limited to the amounts you paid us in the 12 months before the claim. These limits do not apply to breaches of the General Restrictions, Customer Obligations, or Confidential Information sections, or to the indemnification obligations.
Indemnification
We will defend you against third-party claims that the Service, used as authorised, infringes a patent, copyright, or trademark, and may modify the Service, obtain the right to continue it, or terminate the agreement if needed; this does not apply to claims arising from your data, modifications not made by us, unauthorised use, or combinations we did not provide.
You will defend us against claims arising from your data or from any product or service you offer in connection with the Service. The indemnified party will give prompt notice, allow the other party to control the defence, and cooperate.
Feedback
We welcome your feedback and suggestions. You agree that we may act on them freely, without notifying you, getting your permission, or paying you, and you agree not to send feedback you believe is confidential.
Termination
Either you or we may end this agreement at any time. When it ends, your permission to use the Services ends. The provisions that should survive termination, such as Your Content, Feedback, Your Responsibility, Disclaimers, Limits on Liability, Confidential Information, and General Terms, will continue.
Disputes
These terms are governed by the laws of the Kingdom of Saudi Arabia. You and we agree to resolve disputes before the competent courts of Riyadh, and you will bring any claim individually rather than as part of a class action. Either party may still seek urgent injunctive relief.
General terms
If a provision is unenforceable as written, it should be modified to the minimum extent necessary to make it enforceable, or otherwise removed. You may not assign this agreement; we may assign it to an affiliate or to a party that acquires the Company or its related assets. A waiver of one breach is not a waiver of any other. These terms are the entire agreement between you and us about the Services and replace any prior agreements.
Customer data
"Customer Data" means any data you upload to the Service. You retain all right, title, and interest in your Customer Data. You grant us a non-exclusive, worldwide, royalty-free licence to use, copy, store, transmit, modify, and display it solely to provide the Services, to prevent or address technical problems, or as required by law.

Changes
